Incorporation of a quarry company is the prerogative of the Corporate Affairs Commission (CAC) subject to fulfilling all incorporation requirements and payment applicable fees. Below are the requirements for incorporating a company seeking to engage in quarry business in Nigeria:

  • Two proposed names for the company: these names will be submitted to the CAC for name search, screening and approval. Upon approval, the promoters may thereafter proceed to register the company with the approved name.
  • Proposed registered address within Nigeria, email address and phone number of the company.
  • Details of the Shareholders, Director(s) and Company Secretary which must include their names, Contact/Home address, Email address, Phone number, Date of birth, Occupation, National Identification Number (NIN), and electronic signature respectively. Please note that for foreigners, an international passport will be sufficient for means of identification.

1. Registration with the Federal Inland Revenue Service (FIR)

Although a Tax Identification Number (TIN) is assigned to a company upon incorporation by the Corporate Affairs Commission. However, a company is required to register with the Federal Inland Revenue Service (FIRS) for tax purposes.

 Below are the requirements for the registration with the FIRS:

  • Application letter on the company’s letterhead paper;
  • Particulars of the company directors; and
  • Utility bill of the registered address of the company.

2. Registration with the Mining Cadastre Office (MCO) located in Abuja FCT.

MCO is responsible for granting Quarry Lease in respect of any area of land, not exceeding five (5) hectares, and the lease, unless previously revoked or otherwise determined, remains in force for a period of five (5) years or less from the date of lease and shall expire unless renewed, provided the application for renewal is made three (3) months before the lease expires.

A holder of quarry lease is authorised amongst other things, to carry out operation on the land within the area of the lease, remove and dispose of any mineral specified in the lease; and do all such specified in the Act which may be necessary or convenient for the carrying out of its quarrying operations. 

Please note that the area specified in an application for a lease shall be surveyed before the MCO will grant the lease.

Please note also that quarry lease is unique and only covers the certain numbers of minerals specified on the licence.

What are the requirements, conditions and procedure for obtaining a Quarry Lease in Nigeria?

The statutory conditions for obtaining a Quarry Lease in Nigeria are as follows:

  • The Mining Cadastral Office (MCO), on receipt of a valid application, shall grant and issue to the applicant a Quarry Lease within the 45 days;
  • The duration of Quarry Lease shall not exceed five (5) years as required, provided the renewal application is made within three (3) months before the expiration of the lease;
  • The area of land shall not exceed 5km2.

The following are the documents required to register for Quarry Lease with the MCO:

  • A duly completed application form;
  • Pre-feasibility report with (COMEG seal and signature);
  • Evidence of technical and competence persons;
  • The irrevocable consent from the landowners/land occupier;
  • An attestation of no conviction of a criminal offence under the Act;
  • Evidence of financial capabilities;
  • A certified true copy of CAC certificate of incorporation;
  • Evidence of payment of processing fees;
  • Names of minerals to be exploited;
  • Current Tax Clearance;
  • Survey plan.

The mining of minerals in Nigeria accounts for only 0.3% of its GDP, due to the influence of its vast oil resources. The domestic mining industry is underdeveloped, leading to Nigeria having to import minerals that it could produce domestically, such as salt or iron ore. Rights to ownership of mineral resources is held by the Nigerian government, which grants titles to organizations to explore, mine, and sell mineral resources.

About thirty-four (34) minerals deposits have been identified in Nigeria and one of such is Granite. Granite is a coarse-grained intrusive igneous rock composed primarily of light-coloured minerals.

Crushed granites are small chips of granite, used as a base layer for paving. They are rock-aggregate used in building and general construction.

In 2008, It was estimated that the granite chipping demand in southwestern Nigeria was about 24.2 million tons while the total production was about 18 million tons leaving a supply gap of 6.2 million tons. This translates to an annual market size of over N 48 billion

The supply gap has been identified to continue to expand as construction activities in the region continue to grow at a faster rate than the increase in production of granites. According to The Netherlands Development Finance Company (FMO) Nigeria’s housing deficit to date is 17 million housing units on a total population of 140 million with virtually no organized mortgage market.

In addition, infrastructural development particularly with the Federal Government commitment is expected to further expand demand for granite aggregates which are a major input in the construction industry.

For example, the Lagos – Ibadan expressway modernization and expansion project awarded to Bi-Courtney at a cost of N89.5 billion ($610million) is expected to offer an immediate market opportunity for the investment.

The major commercial and economic nerve centers around the project site are Lagos, Ibadan, Abeokuta, Sagamu etc.

The quarry will process rocks into granites aggregates including stones and sand dust. The stones output will be in variety of sizes ranging from ¾ inch to less than ½ inch (stones) and are rich in quartz and K-feldspar, all of which are standard sizes in the construction industry.

The capacity of the proposed plant is one hundred (100) tons per hour and comprises of the Jaw Crusher, Vibrating Feeder, Cone Crusher and Vibrating Screens. Other auxiliary equipment’s include excavator, wheel loader, wagon drill, air compressor, dumper truck, power generator and weigh bridge.

The plant would operate at seventy percent (70%), seventy-five percent (75%), eighty percent (80%), eighty-five percent (85%) and ninety percent (90%) of the installed capacity working a single shift of eight (8) hours per day working for three hundred (300) day per annum in the first, second, third, fourth and fifth years of operations and producing one hundred and sixty-eight thousand (168,000) tons, one hundred and eighty thousand (180,000) tons, one hundred and ninety-two thousand (192,000) tons, two hundred and four (204,000) tons and two hundred and sixteen thousand (216,000) annually.

The plant would produce twenty percent (20%) of stone dust 0-1/4 inch, thirty-five percent (35%) of 1/2 inch and forty-five percent (45%) of 3/4 inch as output.

The Waterberg is punted as South Africa’s next coal frontier by industry and government. It has already seen two rounds of boom and bust driven by mega projects. The first was in the 1980s when the original Grootegeluk mine and the very large Matimba power station were constructed. The second boom kicked off in 2007 with a major expansion of Grootegeluk, to create one of the largest open cast mines in the world, and the construction of Medupi – advertised by Eskom as the fourth biggest power station in the world. It is also the biggest threat to Eskom’s future and to the national economy. These mega projects have reshaped the Waterberg. The first turned the remote apartheid village of Ellisras into a town, now called Lephalale, of fragmented parts. The second initiated a dream of creating South Africa’s ‘first democratic city’. But the boom tore into the local social fabric, benefitting the rich at the cost of the poor and entrenching brutally unequal gender relations. The bust is now compounding the ill effects. Meanwhile, the Mokolo River has been irreversibly damaged and the air is heavily polluted. A third boom is now hoped for. The coal bosses dream of ripping out hundreds of square kilometres of the delicate bushveld while government aims to “unlock the mineral wealth of the Waterberg” by delivering Gauteng’s sewer water to this arid area and massively expanding the coal line from Lephalale to the Highveld and on to Richards Bay for export. For this, they must ignore air and water pollution; pretend that climate change is small change; and maintain ignorance of the impacts on people. This report argues that coal’s next frontier looks more like coal’s last ditch. It is facing stiff resistance on a battlefield for our energy future and its own positions are crumbling. Another energy future is necessary as a matter of survival and requires a rapid phase out of coal and a just transition to people’s power and a more equal society.
